Terms of Service

1. Acceptance of Terms
By accessing or using SoundKit ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
You must be at least 18 years of age to use SoundKit. By creating an account or using the Service, you represent and warrant that you are at least 18 years old.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
SoundKit is an AI-powered platform that enables users to create audio plugins (VST3/AU format) using natural language descriptions.
The Service includes:
- Plugin creation through conversational AI
- Interactive plugin preview and refinement
- A personal plugin library
- A Community Board for sharing plugins with other users
SoundKit reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.
3. Beta Disclaimer
THE SERVICE IS CURRENTLY IN BETA. IT IS PROVIDED FOR EXPERIMENTAL PURPOSES AND WITHOUT ANY WARRANTY OF ANY KIND.
The Service may contain bugs, errors, or inaccuracies. Builds may fail. Features may change or be removed without notice. There is no guarantee of uptime, build success, or audio quality.
By using the Service during the beta period, you acknowledge and accept these limitations.
4. User Accounts & Responsibilities
To use certain features of the Service, you must create an account. You agree to:
- Maintain only one account per person
- Provide accurate and complete registration information
- Keep your login credentials secure and confidential
- Notify SoundKit immediately of any unauthorized use of your account
You are responsible for all activity that occurs under your account. SoundKit may suspend or terminate accounts that violate these Terms.
5. Subscriptions & Billing
SoundKit offers a free tier at no cost, providing a one-time credit allocation to access the Service on a limited basis.
Paid subscriptions are available for users who require monthly credits to continue building. Subscriptions are billed monthly in GBP via Stripe:
- Starter: £5.99/month
- Pro: £14.99/month
ALL PAID SUBSCRIPTION FEES ARE NON-REFUNDABLE. No refunds will be issued for partial months, unused credits, or any other reason.
Your subscription will automatically renew at the end of each billing period. YOUR PAYMENT METHOD WILL BE AUTOMATICALLY CHARGED at the then-current rate unless you cancel before the renewal date.
Cancellation takes effect at the end of your current billing period. No pro-rated refunds are provided for cancellations. All subscription credits and top-up credits expire at the end of your final billing period upon cancellation.
Subscription credits reset monthly; unused subscription credits are forfeited at the end of each billing period and do not carry over.
Paid subscribers may purchase additional credits through one-time top-up payments via Stripe. Top-up credits do not expire while your subscription is active and are forfeited at the end of your billing period upon cancellation.
SoundKit reserves the right to adjust credit allocations periodically in response to changes in underlying operational costs. Material changes will be communicated to users before taking effect.
SoundKit reserves the right to change subscription prices with reasonable notice. Price changes take effect at your next renewal period.
For users in the European Union or United Kingdom: You acknowledge that the 14-day cooling-off period is waived once you begin using the Service (e.g., starting a build, downloading a plugin) during that period.
If a payment fails, SoundKit may suspend your access and retry the charge.
6. Tokens & Credits
**Build Credits**
Build Credits are consumed each time you run a plugin build.
Each subscription tier includes a defined monthly credit allocation (displayed at time of subscription). The Free tier receives a one-time allocation of approximately 200 credits on account creation upon email verification.
Credits are deducted from your subscription balance first, then from any top-up balance.
Credits have no cash value and are non-refundable.
Credit allocations may be adjusted in response to changes in third-party API costs; material changes will be communicated in advance.
**Community Tokens**
Tokens may be earned through Community Board participation, such as sharing plugins with other users.
Tokens are non-refundable, have no cash value, and cannot be transferred between accounts.
SoundKit reserves the right to modify the token system, including earning rates, redemption values, and expiry rules, at any time.
Promotional credits may have additional restrictions or expiry dates as specified at the time of issuance.
7. Plugin Ownership & License
You own the audio plugins you create through SoundKit. SoundKit claims no ownership of your plugin output.
PLUGINS ARE LICENSED FOR PERSONAL, NON-COMMERCIAL USE ONLY. YOU MAY NOT SELL, SUBLICENSE, RESELL, OR COMMERCIALLY DISTRIBUTE ANY PLUGIN GENERATED THROUGH THE SERVICE.
Plugins are provided AS-IS. SoundKit makes no warranty of audio quality, DAW compatibility, or fitness for any particular purpose.
You are solely responsible for testing plugins before use in any production or professional context.
8. Community Board
By sharing a plugin to the Community Board, you grant other SoundKit users a personal-use license to download and use your plugin.
Downloaders and remixers are also bound by the personal-use restriction — they may not sell, sublicense, or commercially distribute shared plugins.
You may remove your shared plugins from the Community Board at any time.
SoundKit reserves the right to remove or moderate any content shared on the Community Board at its sole discretion.
9. Data Usage & AI Training
We use data generated through your use of the Service — including plugin designs, planning conversations, interactive preview sessions, and build outputs — to improve and train our AI systems.
Data may be anonymized and aggregated for analysis and model improvement.
By using SoundKit, you consent to this usage. This clause is essential for service improvement and is a condition of use.
10. Acceptable Use Policy
You agree not to:
- Abuse the build pipeline through excessive automated builds or scripted requests
- Submit malicious content designed to produce harmful plugin output
- Circumvent rate limits, quotas, or access controls
- Reverse engineer, decompile, or attempt to extract source code of the Service
- Use the Service to develop a competing product
- Impersonate other users or misrepresent your affiliation
- Engage in scraping or automated data collection from the Service
Violation of this policy may result in immediate suspension or termination of your account.
11. Intellectual Property
SoundKit and its licensors own the platform, user interface, build infrastructure, AI models, and all related intellectual property.
You retain ownership of your plugin output, subject to the personal-use restriction described in Section 7.
The SoundKit name, logo, and branding are trademarks of SoundKit. You may not use them without prior written permission.
12. Indemnification
You agree to indemnify, defend, and hold harmless SoundKit, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
(a) Your misuse of the Service (b) Your violation of these Terms (c) Your use of generated plugins (d) Your infringement of any intellectual property or privacy rights of any third party
13. Limitation of Liability
THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.
SOUNDKIT'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF £100 OR THE TOTAL FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
14. Dispute Resolution & Arbitration
These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer located in Scotland or Northern Ireland, you may also bring proceedings in the courts of your home nation.
Nothing in this clause affects your statutory rights as a consumer under applicable UK law.
For disputes of low monetary value, you may be eligible to use the small claims track of His Majesty's Courts & Tribunals Service in lieu of full court proceedings.
15. Termination
SoundKit may terminate or suspend your access to the Service at any time, for any reason, at its sole discretion, including for violation of these Terms.
You may delete your account at any time. Account deletion is subject to a 30-day grace period, after which your data will be permanently removed.
Upon termination, your access to the Service will be revoked and build artifacts may be deleted.
The following sections survive termination: Indemnification (Section 12), Limitation of Liability (Section 13), and Dispute Resolution (Section 14).
16. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, or infrastructure failures.
For users in the European Union or United Kingdom: If a force majeure event continues for more than 120 days, you may cancel your subscription without penalty.
17. Changes to Terms
SoundKit may modify these Terms at any time. Material changes will be communicated via email to the address associated with your account.
Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
If you disagree with any changes, your sole remedy is to stop using the Service and delete your account.
